ZF Supervisory Board Starts New Term of Office - New members among both shareholder and employee representatives

Friedrichshafen, Germany. The 20-member Supervisory Board of ZF Friedrichshafen AG, with equal representation of shareholders and employees, completed its five-year term of office on Wednesday, March 15, 2023, and was formally discharged by the Shareholders’ Meeting. On the same day, the body convened its constituent meeting for the new term of office, but this time with three new members among the shareholder representatives and one newly elected employee representative. The appointment of the Chairman of the Supervisory Board, Dr. Heinrich Hiesinger, and Deputy Chairman Roman Zitzelsberger was confirmed by a vote.
At the Shareholders’ Meeting of ZF Friedrichshafen AG held on December 20, 2022, Rachel Empey, Dr. Feiyu Xu and Dr. Rolf Breidenbach were elected as shareholder representatives to the company’s Supervisory Board. Rachel Empey was CFO of Fresenius, a healthcare company based in Bad Homburg, Germany, from 2017 to August 2022. Dr. Feiyu Xu has been Senior Vice President of the Artificial Intelligence Division of the software company SAP SE since 2020. Dr. Rolf Breidenbach was Chairman of the Board of Management of the automotive supplier Hella GmbH & Co. KGaA, headquartered in Lippstadt, Germany, from 2004 to June 2022. The three new members will replace Dagmar Steinert, Jürgen Otto and Dr. Mohsen Sohi, whose Supervisory Board terms have ended at their own request.
The successor to the Ulderup Foundation’s representative on the Supervisory Board, Dr. Joachim Meinecke, who passed away recently, will be decided later.
The ten employee representatives on the Supervisory Board were elected in mid-February by around 365 delegates from ZF’s German locations. Nine of them have already been on the Supervisory Board, which shows a high level of continuity. Six seats went to employee representatives who are also chairpersons of the works councils at their respective locations. They are: Achim Dietrich (Friedrichshafen), Oliver Moll (Schweinfurt), Mario Kläs (Saarbrücken), Hermann Sicklinger (Passau), Erdal Tahta (Koblenz) and Jörg Amon (Lemförde/Dielingen).
The delegates elected Jürgen Sammer (Friedrichshafen) to the Supervisory Board as the new representative of executive employees. He will succeed Joachim Holzner, who did not stand for reelection. As before, the representatives of the trade unions will be Roman Zitzelsberger (District Manager IG Metall Baden-Württemberg), Helene Sommer (First Representative of IG Metall, Administration Center Friedrichshafen-Oberschwaben) and Peter Kippes (IG Metall Frankfurt).
“The new Supervisory Board ensures continuity and a thorough knowledge of the company, which gives us stability in the transformation. At the same time, it sets important new priorities to take ZF forward in future technology fields,” said the reelected Chairman of the Supervisory Board, Dr. Heinrich Hiesinger, at the constituent meeting. He thanked the previous members of the Supervisory Board for their long-standing cooperation: “With their very committed and successful work, they have contributed to further advancing ZF in a very challenging market environment in recent years and in a challenging phase of the transformation.”
